General Terms & Conditions of Trade

These Terms and Conditions apply to business carried out by Upskills Ltd in respect of its customers (the ‘Client’).
Invoicing
Milestone 1 | Programme content planning commences | 20% payment | 4 weeks prior to first session |
Milestone 2 | Satisfactory early point review | 50 % | 4-6 weeks after programme commencement (Monthly terms available) |
Milestone 3 | Final session delivered | 30% | As per programme schedule |
Cancellation policy
Fully refunded for all sessions with 4 weeks notice.
Validity
Quote valid for 28 days from date of issue.
Method of payments
All payments must be settled in full by direct credit, in NZ dollars ($NZ), and payable to Upskills Ltd. The account number for direct credit is 38-9015-0602822-00, KiwiBank NZ. (GST number 112-853-626).
Payment terms
A 10% late payment fee is added to overdue accounts (unless in dispute see below).
The Client will be liable for all costs associated with the collection of outstanding monies.
General conditions
No purported claim or dispute raised by the Client shall be a ground for the Client withholding or offsetting any payment due to Upskills Ltd. All work is undertaken on behalf of the Client in good faith but can only be provided through information supplied by the Client. It is agreed that the Client, not Upskills Ltd has the absolute discretion on the design, maintenance and ongoing services provided by Upskills Ltd. The Client hereby indemnifies Upskills Ltd for any loss, damage, or costs, regardless of cause, that the Client may incur or become liable, due to any consequence of the services provided by Upskills Ltd.
The consequence of non-payment
An additional 10% penalty fee will be added to any outstanding monies over 21 days unless prior arrangements have been made or invoice in dispute. Upskills Ltd reserves the right to notify and subsequently withdraw any services provided to the client on default of any due payment. Upskills Ltd reserves the right to seek payment of any outstanding monies through the services of debt collection agencies.
